These Terms of Service (“Terms”) govern access to and use of the Edsqr School Portal (app.edsqr.com), the Edsqr learning assistant on WhatsApp and the website edsqr.com (together, the “Services”), provided by Edsqr Technologies Private Limited(“Edsqr”, “we”, “us”). By using the Services you agree to these Terms.
1. Who the Services are for
- Schools and institutions(“Customers”) subscribe to Edsqr under an order form or agreement. Where that agreement conflicts with these Terms, the agreement prevails.
- Students access the WhatsApp assistant only when enrolled by their school. Students under 18 may use the Services only with the consent of a parent or lawful guardian, obtained by the school.
- School staff use the School Portal under accounts issued for their institution.
2. Accounts and access
Customers are responsible for the accuracy of the student details they add, for keeping portal credentials confidential and for all activity under their accounts. Notify us promptly at support@edsqr.com of any unauthorised use.
3. Free demo and free trial
- A free demo lets a school's staff try the tutor on our demo account. It is provided for evaluation only.
- A one-month free trial lets the school use the Services with its students at no cost. We set up the school's WhatsApp account as described in section 7.
- Nothing is charged during or after the trial unless the school confirms a paid subscription in an order form. If the school does not subscribe, the trial ends and student data is handled as described in our Privacy Policy.
4. Fees and billing
- Fees are charged per enrolled student, per month, at the rates shown on our website or in the Customer's order form, and are billed annually in advance. Prices exclude GST and other applicable taxes, which are added to the invoice.
- Invoices are payable within the period stated on the invoice or order form.
- If students are added during the subscription term, the additional students are billed for the rest of that term.
- We may suspend the Services for an unpaid invoice after giving written notice and a reasonable period to pay.
- Edsqr bills only the school. We never charge students or parents. Whether a school passes any cost on to its students is a matter between the school and its families.
5. Renewal, cancellation and refunds
- Subscriptions run for the term stated in the order form, usually one year. Renewal for a further term is agreed in writing before the current term ends.
- A school may cancel during the free trial at any time, at no cost.
- Annual fees paid for a subscription term are non-refundable once that term has started, except where required by law or agreed in writing.
- If we end a subscription for reasons other than the Customer's breach, we will refund the fees paid for the unused part of the term.
6. Acceptable use
You agree not to:
- use the Services for any unlawful, harmful, abusive or harassing purpose;
- submit content that is obscene, defamatory, infringing, or that exploits minors in any way;
- attempt to bypass access controls, reverse engineer, scrape or overload the Services;
- share access with people the Customer has not enrolled;
- use the Services to send spam or unsolicited messages.
We may suspend access that breaks these Terms or WhatsApp's business policies.
7. The school's WhatsApp number
- The Customer provides a phone number for the tutor. We set up a WhatsApp Business account on that number in the school's name and logo and connect it to the Services.
- The phone number remains the Customer's. The Customer is responsible for keeping the number active and for providing the information Meta needs to verify the account.
- When the subscription or trial ends, we disconnect the number from the Services and, on request, help the Customer move or release it.
8. AI-generated responses
The assistant generates answers using AI grounded in the school's curriculum. Responses may occasionally be inaccurate or incomplete. The Services are a learning aid and do not replace teachers, prescribed textbooks or examination guidance. Students and schools should check important information against prescribed materials.
9. Curriculum content and intellectual property
- Edsqr prepares the curriculum content used by the tutor from the textbooks prescribed for the school's board and grades. Rights in those textbooks remain with their publishers.
- Any materials a Customer provides to us (“Customer Content”) remain the Customer's. The Customer grants Edsqr a limited licence to host, process and index them solely to provide the Services, and confirms it has the rights needed to share them with us.
- The Services, software, design, trademarks and documentation are owned by Edsqr or its licensors. No rights are granted except the limited right to use the Services under these Terms.
10. Third-party services
Student access depends on WhatsApp, a service operated by Meta Platforms. Use of WhatsApp is also governed by WhatsApp's terms of service and privacy policy. We are not responsible for outages of, or changes to, third-party platforms.
11. Privacy
Our handling of personal data is described in our Privacy Policy. Where we process student data on behalf of a school, we do so under the school's instructions. The Customer is responsible for obtaining parent or guardian consent before enrolling students.
12. Term and termination
Customers may end their subscription as set out in their order form. We may suspend or terminate access for a material breach of these Terms that is not fixed within a reasonable time after notice. On termination, student data is deleted or returned as described in the Privacy Policy.
13. Disclaimers
Except as expressly stated in a Customer agreement, the Services are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose or any guarantee of academic results.
14. Limitation of liability
To the maximum extent permitted by law, Edsqr will not be liable for indirect, incidental, special or consequential damages. Our total liability for any claim relating to the Services is limited to the fees paid by the Customer to Edsqr in the twelve (12) months before the claim.
15. Indemnity
The Customer will indemnify Edsqr against claims arising from the Customer enrolling students without the required consent, from inaccurate student details provided by the Customer, or from Customer Content that infringes someone else's rights.
16. Events beyond our control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as outages of WhatsApp, Meta or cloud providers, internet or power failures, natural disasters or government action.
17. Governing law
These Terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any dispute-resolution clause in a Customer agreement.
18. Changes
We may update these Terms from time to time. Material changes will be communicated to Customers in advance. Continued use after the effective date means you accept the updated Terms.
